1. About Signage Me Up, LLC

Signage Me Up, LLC is your one stop shop that allows users, builders, installers and designers the option to find, sell, contract, offer, sell and buy just about anything related to the signage industry in a variety of pricing formats and locations. The actual contract for sale is directly between the seller and buyer. Signage Me Up, LLC is not a party to the transaction, and it is not a seller, installer, builder or designer.

Any guidance we provide as part of our Services, such as pricing, shipping, listing, and sourcing is solely informational and you may decide to follow it or not. Signage Me Up, LLC has no control over and does not guarantee: the existence, quality, safety or legality of items advertised; the truth or accuracy of users' content or listings; the ability of builders, installers, or designers to sell, create, design and install items. Signage Me Up, LLC is not responsible for vetting users, clients or vendors.

2. Liability limitations.

We strive to keep our Services safe, secure, and functioning properly, but we cannot guarantee the continuous operation of or access to our Services.

You agree that you are making use of our Services at your own risk, and that they are being provided to you on an "AS IS" and "AS AVAILABLE" basis. Accordingly, to the extent permitted by applicable law, we exclude all express or implied warranties, terms and conditions including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In addition, to the extent permitted by applicable law, in no event will Signage Me Up, LLC (including our parent, subsidiaries, and affiliates, and/or their officers, directors, agents and employees) be liable to you or any third party under any claim at law or in equity for any consequential damages or losses (including, but not limited to, loss of money, goodwill or reputation, profits, other intangible losses, or any special, indirect, or consequential damages), and all such damages or losses are expressly excluded by this agreement whether or not they were foreseeable or Signage Me Up, LLC was advised of such damages or losses. Without limiting the generality of the foregoing, we (including our parent, subsidiaries, and affiliates, and our and their officers, directors, agents and employees) are not liable, and you agree not to hold us responsible, for any damages or losses (including, but not limited to, loss of money, goodwill or reputation, profits, other intangible losses, or any special, indirect, or consequential damages) resulting directly or indirectly from:

• the content you provide (directly or indirectly) using our Services;
• your use of or your inability to use our Services;
• pricing, shipping, format, or other guidance provided by Signage Me Up, LLC;
• delays or disruptions in our Services;
• viruses or other malicious software obtained by accessing or linking to our Services;
• glitches, bugs, errors, or inaccuracies of any kind in our Services;
• damage to your hardware device from the use of any Signage Me Up, LLC Service;
• the content, actions, or inactions of third parties, including items listed using our Services or the destruction of allegedly fake items;
• a suspension or other action taken with respect to your account or breach of the Abusing Signage Me Up, LLC website or services; and/or
• your need to modify practices, content, or behavior, or your loss of or inability to do business, as a result of changes to this User Agreement or our policies.

Further, you acknowledge that no vendor, buyer, seller, and/or user with a listing on this site are employees, contractors, agents and/or subcontractors of Signage Me Up, LLC. Signage Me Up, LLC is not liable for the work or actions of any of its vendors, buyers, sellers and/or users.

3. Responsibility for your data

Signage Me Up, LLC is not responsible for perpetually maintaining and keeping user files. While Signage Me Up, LLC takes your personal information very seriously, and will make every reasonable effort to maintain appropriate backups, you (the user) are ultimately responsible for maintaining backups of your critical business data.

4. Terms of Service subject to updates without notice

Signage Me Up, LLC reserves the right to update its terms of service from time to time by posting the changes on the Signage Me Up, LLC website, with no advance notice required. Our right to amend the User Agreement includes the right to modify, add to, or remove terms in the User Agreement. Your continued access or use of our Services constitutes your acceptance of the amended terms.

5. Fees and Billing

Signage Me Up is a paid site and app for signage companies. Subscription fees, marketplace / job payment fees, and any other charges are as shown in billing settings and at checkout. Fees are subject to change; material changes will be reflected in the product and may also be noted under this section. Payments are processed by Stripe; Signage Me Up does not store full card numbers.

6. Community Communication Guidelines

In connection with using or accessing our Services you agree to comply with this User Agreement and the community communication guidelines, our policies, our terms, and all applicable laws, rules, and regulations, and you:

• Will treat other community members respectfully and professionally,
• Will not make any illegal or inappropriate posts,
• Will not breach or circumvent any laws, regulations, third-party rights or our systems, Services, policies, or determinations of your account status;
• Will not use our Services if you are not able to form legally binding contracts (for example, if you are under 18 years old),
• Will not distribute viruses or any other technologies that may harm Signage Me Up, LLC or the interests or property of users;
• Will not distribute or post spam, unsolicited or bulk electronic communications, chain letters, or pyramid schemes;
• Will not communicate in any rude, vulgar, abusive or distasteful manner with other users;
• Will not harvest or otherwise collect information about users without their consent; or
• Will not circumvent any technical measures used to provide our Service.

Signage Me Up, LLC reserves the right to review communications between users to ensure its communication guidelines are being followed and for quality assurance purposes.

7. Mediation Agreement and Jurisdiction

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND WILL HAVE A SUBSTANTIAL IMPACT ON HOW CLAIMS YOU AND SIGNAGE ME UP, LLC HAVE AGAINST EACH OTHER ARE RESOLVED.

You and Signage Me Up, LLC agree that any claim or dispute at law or equity that has arisen, or may arise, between you and Signage Me Up, LLC (or any "related third parties" which includes: Signage Me Up, LLC's respective affiliates, subsidiaries, parent companies, predecessors, successors, assigns, and these entities' respective employees and agents), that relates in any way to or arises out of this or previous versions of this User Agreement, your use of or access to the Services, the actions of Signage Me Up, LLC or its agents, or any products or services sold or purchased through the Services, the parties will attempt to resolve any dispute in good faith through informal discussions and negotiations. If these efforts are unsuccessful, the parties agree to submit the dispute to mediation before a mutually agreeable mediator prior to litigation. A request for formal mediation/arbitration must be submitted to Signage Me Up, LLC in writing and sent to Signage Me Up, LLC via certified mail. All mediation and litigation shall take place in the parish/county in which we maintain our principal place of business (currently St. Tammany Parish, Louisiana). The parties irrevocably waive any objection to such venue, and with respect to litigation proceedings, submit to the jurisdiction of such courts.

You agree that, except to the extent inconsistent with or preempted by federal law, the laws of the State of Louisiana, Parish of St. Tammany in the 22nd Judicial District Court for St. Tammany Parish without regard to principles of conflict of laws, will govern this User Agreement and any claim or dispute that has arisen or may arise between you and Signage Me Up, LLC, except as otherwise stated in this User Agreement.

8. Uploaded data may be used to improve the site

Signage Me Up, LLC may use users uploaded data to improve its site and use experience. We may reproduce, distribute and share data or portions thereof on our site as part of a list of Products and services on the company profile.

9. Release

If you have a dispute with one or more users, you hereby release Signage Me Up, LLC (and our affiliates and subsidiaries, and our and their respective officers, directors, employees and agents) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. In entering into this release you expressly waive any protections (whether statutory or otherwise) that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist in your favor at the time of agreeing to this release.
